THE BY-LAWS

LOCKNEY AREA CHAMBER OF COMMERCE

APPROVED MARCH 4, 2000

 

ARTICLE I – Name

 

Section 1. The name of this organization shall be the Lockney Area Chamber of Commerce.

ARTICLE II – Object

 

Section 1. The Lockney Area Chamber of Commerce is a group of volunteers committed to enhancing commercial, civic, agricultural, and educational well being in the City of Lockney and the surrounding area.

ARTICLE III – Limitation of Methods

 

Section 1. The Lockney Area Chamber of Commerce shall be nonpartisan and nonsectarian and shall adhere to all rules and regulations of the Internal Revenue Code 501-C-6.

ARTICLE IV – Membership

 

Section 1. Any reputable person, association, corporation, partnership, or estate who are in sympathy with the objects of the Lockney Area Chamber of Commerce may subscribe for membership with approval of the Board of Directors.

Section 2. Members may be elected by the membership committee, and the Board of Directors shall approve all membership dues.

Section 3. Any person, firm, association, or corporation eligible to membership may acquire more than one membership by undertaking to pay the annual dues of each such membership, and may designate an individual to represent each such membership, subject to the approval of the Board of Directors.

Section 4. Any person, firm, association, or corporation holding more than one membership shall be entitled to cast only one vote; except those individuals who have been designated to represent said additional memberships shall vote as members.

Section 5. Any person, firm, association, or corporation holding one or more memberships shall have the right at any time to change any or all of its representatives upon written notice to the Lockney Area Chamber of Commerce.

Section 6. Distinction in public affairs shall confer eligibility to honorary membership, except that of holding office, with exemption from the payment of all fees and dues. Honorary members may be elected by the Board of Directors. A proposal to confer honorary membership may be made in writing to the membership committee by any member of the Chamber. If the membership committee approves such proposal, the name shall be presented in nomination to the directors with a brief statement of the reasons therefor. If the nominee shall receive an affirmative vote of the Board of Directors, membership shall be announced to the Chamber at its first meeting thereafter. Any honorary membership may be revoked by the Board of Directors at any time.

Section 7. Members may be expelled by the Board of Directors for cause or for nonpayment of dues or budget subscriptions within a reasonable time as fixed by the Board of Directors. No member may be expelled without the opportunity of a hearing before the Board of Directors at a proposed time and place and after a reasonable notice. A three-fourths vote of all directors present shall be necessary to expel a member. An expelled member shall have the right to appeal to the entire Chamber, and upon his/her written request, he/she must be allowed to make such an appeal at the next annual meeting or special meeting with 30 days of such a request.

Section 8. The death, resignation, or expulsion of a member shall terminate his/her membership. The termination of a membership shall work a forfeiture of all interest of the member in and to the property of the corporation, and the member shall thereafter have no right thereto or any part thereof. The substitution of a new assignee for the holder of a plural membership shall in no case terminate the particular membership.

ARTICLE V – Meetings

 

Section 1. Meetings of the members may be held at such times as the President or the Board of Directors may determine, or upon the written request of five percent of the members in good standing. Members shall be made aware of the dates and times of monthly Board meetings.

Section 2. The annual meeting of the Chamber shall be held within the first three months of each calendar year.

Section 3. At all membership meetings, the members present constitute a quorum.

Section 4. Notice of special meetings shall be given to each member in person or by mailing notice to the last known post office address at least 48 hours in advance of day of meeting.

ARTICLE VI – Directors

 

Section 1. The Government of the Chamber, the direction of its work, and the control of its property shall be vested in the Board of Directors. The Board of Directors shall have the power to fill all vacancies on the Board. They may adopt rules for conducting the business of the Chamber. They shall meet not less frequently than once a month, at such regular time and place as to be determined by them. They shall submit in writing at the annual meeting a full report of the work.

Section 2. The Board of Directors shall consist of not less than 15 members or a larger number as set by the Board of Directors not to exceed 30 members. Each member of the directorate is eligible to serve for three years and a maximum of two three-year terms. Members of the directorate shall be elected from a list of nominees numbering two times the number of vacancies to be filled. Upon election, the Board of Directors shall meet, qualify, and elect from their number a president, vice-president, secretary, treasurer, and committee chairpersons.

Section 3. The Board of Directors shall be chosen no later than the February meeting, or at a special meeting called for that purpose, or by a mailed ballot conducted by the Board of Directors. If the election be conducted at a meeting, the vote shall be by secret ballot.

Section 4. A nominating committee of not less than five members of the Chamber shall be appointed by the President at least 30 days prior to the election. The nominating committee shall nominate from the Chamber membership enough members to fill all vacancies on the Board of Directors. Said committee shall file its list of the nominees recommended with the President not later than 15 days before the election. Other nominations may be made by any member in good standing of the Chamber in writing.

Section 5. The Board of Directors is authorized to choose not more than three members-at-large as members of the Board of Directors. The members of the Board of Directors so chosen shall serve for a one-year term.

Section 6. The Secretary shall provide to all members of the Board, ten days prior to the election, a list of the nominees recommended by the nominating committee.

Section 7. All voting shall be by ballot. A number of nominees corresponding with number of directors to be elected who receive the highest number of votes shall be declared elected.

Section 8. The officers of the Board shall have supervision of the election, including the tallying of votes.

Section 9. The Board of Directors shall meet at regular periods, the time to be fixed by the Board.

Section 10. A majority of the Board of Directors shall constitute a quorum at any meeting.

Section 11. The officers of the shall constitute the executive board and shall have power to transact emergency and other such business as delegated by the Board.

ARTICLE VII – Officers

 

Section 1. Within 10 days after the annual election, the Board of Directors shall meet and elect officers for the ensuing year, a president, vice-president, secretary, treasurer, and committee chairpersons. All of said officers and committee chairpersons must be members of the Board of Directors.

Section 2. The President shall preside at all meetings of the Chamber and Board of Directors, and perform all duties incident to this office. He or she shall, subject to the approval of the Board of Directors, appoint all committees. He or she shall, at the annual meeting of the Chamber and at such other times as he or she may deem proper, commend to the membership of the Board of Directors such matters and make such suggestions as may tend to promote the prosperity and increase the usefulness of the Chamber.

Section 3. The Vice-President shall act in the absence of the President; in the order directed by the Board of Directors.

ARTICLE VIII – Committees

 

Section 1. The Board of Directors shall authorize and define the powers and duties of all committees.

Section 2. The nominating committee will recommend members of the Board to serve as committee chairpersons. These recommendations will be presented to the Board for approval annually at the March meeting.

Section 3. In the interim between meetings of the Board, an executive committee shall have charge of the routine business of the Chamber. It shall have general charge of the finances and property of the Chamber and shall have authority to order disbursements for necessary expenses, and may grant to any committee a reasonable amount of money for special work, provided such amount shall not exceed the budget allowance for such work as previously approved by the Board.

ARTICLE IX – Disbursements

 

Section 1. No disbursements of the funds of the Chamber shall be made unless the same shall have been approved, authorized, and ordered by the Board of Directors or the executive committee. Receipts for all expenditures of Chamber funds must by submitted to and maintained by the Treasurer."

ARTICLE X – Fiscal Year

 

Section 1. The fiscal year shall end the last day of March each year.

ARTICLE XI – Parliamentary Procedure

 

Section 1. The proceedings of the Chamber meetings shall be governed by and conducted according to the latest edition of Robert’s Rules of Order.

ARTICLE XII – Amendments

 

Section 1. The by-laws may be amended or altered by a two-thirds vote of those present at any regular or special meeting of the Lockney Area Chamber of Commerce, provided notice of the proposed change shall have been mailed by the Secretary to each member not less than 10 days prior to such meetings.
